Mark J. Tarallo
Mark J. Tarallo is a member of the Business and Finance Department and Mergers and Acquisitions and Entrepreneur practice groups.
Mark represents entities ranging from startups to publicly listed international businesses. He works closely with clients to negotiate, draft and review all documents in connection with venture capital financings, securities offerings and mergers and acquisitions.
Mark’s experience with mergers and acquisitions includes both US-based and international businesses. He has represented buyers, sellers, investors and management teams as part of these transactions and has been responsible for all aspects of the transactions, from letter of intent to closing. Mark has also been responsible for conducting due diligence on all aspects of these transactions and providing reports and analyses to boards and private equity funding sources.
Additionally, Mark advises clients on general corporate matters including securities, governance, intellectual property, licensing, employment and litigation. He also assists clients such as private funds and investment advisers in connection with regulatory and securities matters.

- Represented UK-based private equity backed educational software firm in acquisition of US software company.
- Represented private equity firm in multiple portfolio acquisitions in specialty metal, oilfield services and aircraft parts sectors.
- Represented leading software architecture firm in sale to Fortune 500 company.
- Represented publicly listed UK-based software company in multiple acquisitions in the United States and other jurisdictions.
- Represented leading construction materials supplier in sale to privately backed buyer.
- Represented family owned watercraft business in sale to publicly traded buyer.
- Represented a public company in its negotiations with SAP and CapGemini for a multinational SAP implementation
- Represented a systems developer/implementer in executing an MSA with a major US footwear manufacturer for an SAP implementation including custom point-of-sale developments
- Represented an SAP implementer in executing an MSA with a major European luxury goods provider for an SAP implementation across multiple brands
