Brian W. Fischer
As a member of the Business & Finance Department, Brian Fischer focuses his practice on mergers and acquisitions, venture capital and private equity transactions, financing transactions, corporate governance and shareholder disputes, and licensing and commercial agreements in a broad range of industries, including manufacturing, aerospace, financial services, professional service companies, health care, energy and natural resources, and technology.
Brian also acts as outside general counsel to privately held businesses and emerging growth companies, advising on matters such as business formation, corporate governance, business operations, commercial contracting and other general corporate matters. Brian has significant experience in transition planning for family-owned and closely-held businesses and assisting owners and management in preparing for and executing sale transactions and other transitions to the next generation of owners and management.
While at University of Miami School of Law, Brian was an Associate Editor of the University of Miami Law Review. At Boston University School of Law Brian was a member of the Review of Banking & Financial Law and was the recipient of the Dennis S. Aronowitz Prize for Academic Excellence in Banking and Financial Law.
Representative matters include:
- Representation of an international waste management company in $10 million stock acquisition of Wisconsin-based waste management company
- Representation of an international engineering company in $10 million stock acquisition of a tool design and manufacture company
- Representation of privately held defense company in $25 million sale to a publicly traded technology company
- Counsel to the special committee of a publicly traded sporting goods retailer in connection with its acquisition, valued at approximately $70 million, in a two-step tender offer merger by a private equity sponsor
- Representation of the audit committee of an oil & gas exploration and production company in connection with a series of related party transactions
- Representation of a New England based automotive aftermarket parts distributor in a sale of all of its assets to a strategic acquirer for approximately $23 million
- Representation of a privately held financial services company in connection with an internal investigation and ratification of corporate actions, and reorganization of the company’s capital structure
- Representation of an investor group in connection with an approximately $15 million preferred stock investment in a Connecticut based technology company
- Representation of a food and beverage company in connection with its spin-off of an operating division
